Connie C. Dai

Since being raised in Shanghai, Attorney Dai has lived in Calgary, Toronto and Boston.  Her rare blend of legal and business experience both nationally and internationally has given her unique capability to bridge deeply rooted gaps in ideology, cultural and thought process between native Chinese and Americans.

Attorney Dai advises emerging to well-established companies on corporate, investment, business transactions, trademark, trade secrets and employment matters. Her practice covers company structuring, formation, draft and negotiation of a variety of commercial agreements. She has formed multiple private equity funds with investment in real estate, AI, healthcare, biotechnology, robotics and IOT. She has represented both portfolio companies and investors in angel round and subsequent series of investment transactions.  

 

Attorney Dai offers advice on employment matters, such as, offer letter, employment agreement, wage & hour, classification of employment, severance, non-solicitation and non-competition. She has formed and represented multiple tax-exempt nonprofit organizations. Her clients include biotechnology, CRO, private equity, education consulting, business incubator, real estate developer and broker, recruiting and staffing, export and import, online distributor for electronic products.

In addition, Attorney Dai represents clients in the State and Federal courts as well as before private arbitration and mediations.  She has handled cases involving misappropriate of trade secrets, breach of contract, breach of Computer Fraud & Abuse Act (CFAA), fraud in investment transactions, disputes arising out of real estate development and acquisition, breach of fiduciary duty, partnership dispute, non-compete, wage & overtime violation, and employment discrimination. She has represented clients in response to investigation from and settlement negotiation with government agencies: Securities and Exchange Commission, the Attorney General’s Office, and the Department of Labor.

Prior to joining Lion’s Law, Attorney Dai worked with Cutler & Wilensky, LLP for eight years.  She interned in the Massachusetts Appeals Court for the Honorable Fernande R.V. Duffly, who was subsequently appointed to the Massachusetts Supreme Judicial Court.

Before practicing law, Attorney Dai advised and counseled business and start-ups on marketing and growth strategies, financing options and operation optimization, and has negotiated business engagements on behalf of client companies with revenues ranging from $1M to $15M. Earlier in her career, she oversaw the enforcement of anti-trademark infringement efforts by Coca-Cola China, as well as participated in joint venture negotiations that led to the establishment of several Coca-Cola bottling companies in China.

 

Attorney Dai has been a leader and active participant in civic engagement, community services and professional associations. She is the President and board of directors of Civic Education Alliance, a board of directors of New England Chinese American Alliance, and a board of directors of New England Chinese Information and Networking Association.

Representative Matter

General Counsel and Business Transaction

  • Aided the US subsidiary of a major publicly traded drug manufacturer in China to reduce two thirds of its workforce of about seventy employees.

  • Assisted a bio-pharmaceutical client in a negotiation leading to a satisfactory settlement on an early termination of the office and laboratory lease with its landlord. 

  • Represented a Chinese public company in its acquisition of equity worth $2,000,000 in a contract research organization in Massachusetts. 

  • Assisted a cryptocurrency mining client in negotiating an agreement with a specialized energy consultant on purchasing energy from the energy service providers.

  • Reinstated a 501(c)(3) nonprofit organization’s compliance status with Massachusetts Attorney's Office and Internal Revenue Service when the nonprofit registration and tax exemption status have been out of compliance for five years. 

  • Provided research for a client on legal procedures to comply with cannabis storage, analysis, processing, disposition and transportation. 

  • Conducted due diligence and prepared a legal opinion for a Massachusetts subsidiary of PharmaEssentia Corp, a leading biopharmaceutical company’s $462,700,000 offering of global depositary shares.

  • Represented a company in acquiring the assets from a recruiting agency in business for a decade.

  • Advised a biotechnology startup client, who has since received multiple series of equity financings, on asset acquisitions and entity dissolution as well as a CFIUS analysis. 

  • Represented a biotechnology startup to receive $9,000,000 pre-series A equity investment from a public company in Hong Kong and a private equity investor from Shanghai.

  • Provided due diligence of multiple US subsidiaries of a pre-IPO company with $360,000,000 market cap and 28,000 employees publicly listed company on the Shanghai Stock Exchange. 

  • Conducted a due diligence review of a large volume of documents of a biotechnology startup receiving series D investment from a consortium of private equity firms from Korea, Hong Kong and China.

  • Represented a client on negotiating and entering an office lease for an annual rent of $600,000.

  • Formed a series of private equity fund investing in real estate development, artificial intelligence, robotics, and biopharma.

  • Represented a Chinese agricultural aviation business entering a joint venture with a flight school in Virginia.

  • Represented a group of Chinese investors to purchase the assets of a medical device company developing a laser diagnosis device for lung cancer.

Dispute Resolution/Litigation

  • Working with a commercial tenant client defendant as its legal risk control manager together with its litigation counsel, to reach a satisfactory settlement result in about $2,000,000 while the client's exposure was approximately $8,000,000.

  • Successfully settled for realtor and landlord a claim filed by a potential tenant for housing discrimination with the Massachusetts Commission Against Discrimination (MCAD).

  • Won a three-day trial for a commercial landlord tenant eviction case at Boston Municipal Court, Roxbury Division.

  • Won from the Court a decision for the client to enforce a settlement reached in the mediation but reneged by the opposing party the next day.

  • Represented a lab equipment manufacturer and distributor to challenge a damage assessment by US Customs and Boarder Protection, successfully negotiating the damage down to 10% of the initial damage assessment.

  • Represented the Massachusetts subsidiary of a Chinese daycare chain business in a commercial lease dispute and won a motion for a temporary restraining order and attachment of real property against the defendant landlord.

  • Represented the principal owner to reach a settlement with another shareholder on a partner dispute in connection with the financial dealings and operation of a series of chain restaurants in Boston. 

  • Represented clients on responding to investigations from and negotiating for settlement resolutions with Department of Energy, Department of Labor, and Massachusetts Attorney General’s Office.

  • Represented a Chinese industrial component manufacturer against a distributor for a $7,000,000 litigation in Western District of New York, US District Court for breach of contract, breach of fiduciary duty and misappropriation of trade secrets.  

  • Won a unanimous jury verdict in the Federal District Court in Massachusetts for a litigation of multi-million dollars against multiple defendants for eleven causes of action.

  • Represented two relief defendants to reach a settlement with the Securities and Exchange Commission, where clients had in their possession the alleged tainted assets of over $3,000,000 in cash and real property.   

  • Represented a Chinese investment company in settling a close to $2,000,000 suit against multiple defendants in a residential real estate development project in Harwich, Cape Cod, involving defendants’ breach of contract, fraud, theft of corporate funds, breach fiduciary duty, and unjust enrichment.

  • Represented a client on defending a partnership dispute and misrepresentation in connection with a $2,000,000 commercial real estate development and investment in New Bedford. Our representation ultimately resulted in the plaintiff’s dismissal of our defendant client in exchange for a negligible amount of settlement. 

  • Represented multiple employees to settle with their employer for claims on unpaid salary, bonus, and overtime wages, for over $150,000. 

  • Represented multiple defendants in settling a claim in a commercial contract dispute within three weeks after plaintiff’s filing of complaint, preliminary injunction, and trustee process for over $200,000. 

  • Reached a settlement for an automobile equipment design and manufacturer with its Spanish distributor on a service contract suit litigated in the court for over two years.

  • Represented a business defendant to have court deny a preliminary injunction enjoining our client a fencing coach from continuing the operation of his new club based on plaintiff’s alleged misappropriation of client contact information as trade secrets.

  • Represented an heir of a Chinese citizen who died of cancer in Boston in a motion for relief for a probate proceeding regarding the deceased's substantial estate, and the court granted our motion to dismiss.
